Terms & Conditions – SIMONE ANN ART

Definitions

  1. SIMONE ANN ART: the sole proprietorship based in Amsterdam, registered with the Dutch Chamber of Commerce under number 89381955.

  2. Customer: the party with whom SIMONE ANN ART enters into an agreement.

  3. Parties: SIMONE ANN ART and the customer jointly.

  4. Consumer: a customer who is a natural person acting for private, non-commercial purposes.

Applicability

  1. These general terms and conditions apply to all offers, activities, orders, agreements, and deliveries of products or services by or on behalf of SIMONE ANN ART.

  2. Deviations from these terms are only valid if expressly agreed upon in writing.

  3. Any supplementary or deviating terms and conditions of the customer or third parties are expressly excluded.

Prices

  1. All prices used by SIMONE ANN ART are stated in euros and include VAT, but exclude shipping costs, unless otherwise specified.

  2. Standard shipping costs are €3.99 per order.

  3. For orders of €50 or more, shipping is free.

  4. SIMONE ANN ART may adjust prices of products or services shown in the webshop or elsewhere at any time.

  5. Unforeseen increases in cost prices may lead to price adjustments.

  6. The consumer may terminate the agreement in the event of a price increase as referred to in paragraph 5, unless the increase results from statutory regulation.

Payments

SIMONE ANN ART may require full payment (100%) at the time of an online purchase.
Payment methods include credit cards, debit cards, and the online payment options offered in the webshop.

Suspension by the Customer

The customer waives the right to suspend the fulfilment of obligations arising from this agreement.

​

Retention of Title

All delivered products remain the property of SIMONE ANN ART until the customer has fulfilled all payment obligations in full.

​

Complaints

  1. The customer must inspect the delivered product or service as soon as possible after receipt.

  2. If the delivered product or service does not meet what the customer may reasonably expect, the customer must notify SIMONE ANN ART as soon as possible—and in any case within one month after discovering the issue.

  3. Complaints must be described as clearly and detailed as possible, so SIMONE ANN ART can respond appropriately.

  4. The customer must be able to demonstrate that the complaint relates to an agreement between the parties.

  5. A complaint concerning ongoing work does not obligate SIMONE ANN ART to perform work other than what was agreed.

Notice of Default

  1. A notice of default must be submitted in writing or by e-mail (with electronic signature).

  2. The customer is responsible for ensuring the notice of default reaches SIMONE ANN ART on time.

Liability of SIMONE ANN ART

  1. If SIMONE ANN ART is liable for damages, such liability is limited to direct damages resulting from or related to the performance of the agreement.

  2. SIMONE ANN ART is never liable for indirect damages.

  3. All images, photographs, colours, drawings, and descriptions on the website or in catalogues are indicative only and cannot lead to compensation, dissolution, or suspension of obligations.

Dissolution

  1. The customer may dissolve the agreement if SIMONE ANN ART imputably fails to fulfil its obligations, unless the shortcoming is minor.

  2. If fulfilment is temporarily or permanently impossible, dissolution can only occur after SIMONE ANN ART has been placed in default.

  3. SIMONE ANN ART may dissolve the agreement if the customer does not comply with their obligations in full or on time.

Force Majeure

  1. A failure by SIMONE ANN ART cannot be attributed if due to circumstances outside its control, as defined in Article 6:75 of the Dutch Civil Code.

  2. Force majeure includes—but is not limited to—states of emergency, failures by suppliers or carriers, power or internet outages, computer failures or viruses, strikes, and unforeseen transport issues.

  3. During a force majeure situation, the obligations of SIMONE ANN ART are suspended.

  4. If the force majeure situation lasts at least 30 calendar days, either party may dissolve the agreement in writing (in whole or in part).

  5. SIMONE ANN ART is not liable for damages resulting from force majeure, even if it benefits from the situation.

Modification of the Agreement

If, after concluding the agreement but prior to its execution, it appears necessary to amend or supplement it, the parties will adjust the agreement in mutual consultation.

Changes to the General Terms and Conditions

  1. SIMONE ANN ART may amend or supplement these terms and conditions at any time.

  2. Minor changes may be implemented without prior notice.

  3. Significant changes will be discussed with the customer where reasonably possible.

  4. In case of a substantial change, consumers have the right to cancel the agreement.

Transfer of Rights

  1. The customer may not transfer rights arising from an agreement with SIMONE ANN ART to third parties without written permission.

  2. This provision has property-law effect as referred to in Article 3:83(2) of the Dutch Civil Code.

​

Invalidity or Annulment

  1. If any provision is void or voidable, the remaining provisions remain fully in force.

  2. The void or annulled provision will be replaced by a provision that most closely reflects the intent of SIMONE ANN ART.

​

Applicable Law and Competent Court

  1. Dutch law exclusively applies to all agreements between the parties.

  2. Any disputes will be submitted to the competent court in the district where SIMONE ANN ART is established, unless mandatory law prescribes otherwise.

​
